Agreement to Terms
Welcome to Kinari Flow. These Terms of Service constitute a legally binding agreement between you and Kinari Flow governing your access to and use of our platform, including our micro studio network, live stream classes, corporate wellness programs, and all related services. By creating an account, booking a class, or accessing any part of our platform, you agree to be bound by these terms in their entirety. If you do not agree with any provision of these terms, you must not use our services. These terms apply to all users, including members, instructors, corporate clients, and visitors.
Account Registration and Responsibilities
To access certain features of Kinari Flow, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to create an account, or have parental consent if under 18. You agree to immediately notify us of any unauthorized use of your account or any other security breach. We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent, abusive, or illegal activities. You may not transfer or share your account with others.
Booking and Cancellation Policies
When you book a class through Kinari Flow, you enter into a binding commitment. All bookings are subject to availability and instructor confirmation. Payment is required at the time of booking unless otherwise specified. Cancellations must be made at least 24 hours before the scheduled class time to receive a full refund or credit. Cancellations made within 24 hours of the class start time will result in forfeiture of the class fee. No-shows without prior cancellation will be charged the full class fee. Instructors reserve the right to cancel classes due to insufficient enrollment, illness, or unforeseen circumstances, in which case you will receive a full refund or credit. We are not responsible for classes cancelled due to circumstances beyond our control.
Membership Plans and Payments
Kinari Flow offers various membership plans with different benefits and pricing structures. Membership fees are billed on a recurring basis according to the plan you select. You authorize us to charge your designated payment method for all applicable fees. All fees are non-refundable except as expressly stated in these terms or required by law. We reserve the right to change membership fees with 30 days advance notice. Failure to pay fees when due may result in suspension or termination of your membership. Class packs and credits expire according to their specific terms and cannot be transferred or exchanged for cash. Corporate membership plans are subject to separate agreements.
User Conduct and Prohibited Activities
You agree to use Kinari Flow responsibly and respectfully. Prohibited activities include: harassing, threatening, or discriminating against instructors or other users; disrupting classes or studio operations; using the platform for any illegal purpose; misrepresenting your identity or credentials; sharing your account with unauthorized persons; recording or streaming classes without explicit permission; circumventing security measures or access controls; scraping, mining, or extracting data from the platform; posting or transmitting harmful content including viruses or malware; and infringing on intellectual property rights. Violations may result in immediate termination of your account and legal action.
Health and Safety Acknowledgments
Participation in yoga and gymnastics classes involves physical activity and inherent risks. You acknowledge that you are in sufficient physical condition to participate and have consulted with a physician if you have any health concerns. You agree to inform instructors of any injuries, conditions, or limitations that may affect your ability to safely participate. Instructors may modify or restrict your participation based on safety considerations. You participate at your own risk and release Kinari Flow, its instructors, and affiliated studios from liability for injuries or health issues arising from your participation, except where caused by gross negligence or willful misconduct. Emergency medical treatment may be provided if necessary, and you agree to be responsible for any associated costs.
Intellectual Property Rights
All content on the Kinari Flow platform, including text, graphics, logos, images, videos, class materials, software, and the compilation of all content, is the property of Kinari Flow or its content providers and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the platform for personal purposes only. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content without our express written permission. Class recordings, when permitted, are for your personal use only and may not be shared, distributed, or used commercially. Instructor names, images, and biographical information are protected and may not be used without consent.
Third-Party Services and Integrations
Kinari Flow may integrate with or provide links to third-party services, including payment processors, streaming platforms, and scheduling tools. These third parties operate independently and are governed by their own terms and policies. We do not endorse or assume responsibility for third-party services. Your use of third-party services is at your own risk, and you should review their terms and privacy policies. We are not liable for any damages or losses resulting from your interactions with third parties. Some features may require accounts with third-party services. We may suspend integrations or features at any time without notice.
Disclaimers and Limitations of Liability
Kinari Flow is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We make no guarantees regarding the quality, accuracy, or availability of instructors or classes. To the fullest extent permitted by law, Kinari Flow and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including lost profits, lost data, or business interruption. Our total liability shall not exceed the amount you paid to Kinari Flow in the 12 months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Kinari Flow and its affiliates, officers, directors, employees, instructors, partners, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these terms, your violation of any rights of third parties, or any content you submit or transmit through the platform. This indemnification obligation will survive the termination of your account and these terms. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense of such claims.
Termination and Suspension
You may terminate your account at any time by contacting us or through your account settings. Termination does not relieve you of obligations incurred before termination, including payment obligations. We may suspend or terminate your access to the platform immediately, without notice, for any reason, including violation of these terms, fraudulent activity, prolonged inactivity, or at our sole discretion. Upon termination, your right to use the platform ceases immediately. We may delete your account data after termination, subject to our data retention policies and legal obligations. Provisions of these terms that by their nature should survive termination will remain in effect, including intellectual property rights, disclaimers, and limitations of liability.
Dispute Resolution and Governing Law
These terms are governed by the laws of Japan, without regard to conflict of law principles. Any disputes arising from these terms or your use of Kinari Flow shall be resolved through binding arbitration in accordance with the rules of the Japan Commercial Arbitration Association, conducted in Chiba, Japan, in the Japanese language. You waive any right to participate in class action lawsuits or class-wide arbitration. However, either party may seek injunctive or equitable relief in court to prevent infringement of intellectual property rights or unauthorized access to the platform. You agree to submit to the personal jurisdiction of the courts located in Chiba, Japan, for any actions for which arbitration is not required.
Modifications to Terms
We reserve the right to modify these Terms of Service at any time. When we make material changes, we will provide notice through the platform, by email, or by other appropriate means at least 30 days before the changes take effect. Your continued use of Kinari Flow after changes become effective constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must discontinue use of the platform and may terminate your account. We encourage you to review these terms periodically. The "Last Updated" date at the top of this page indicates when these terms were last revised.
Miscellaneous Provisions
These terms constitute the entire agreement between you and Kinari Flow regarding your use of the platform and supersede all prior agreements. If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision of these terms does not constitute a waiver of such right or provision. You may not assign or transfer these terms or your account without our written consent. We may assign these terms without restriction. Section headings are for convenience only and do not affect interpretation. These terms do not create any third-party beneficiary rights.
